LEGALGUARD TERMS OF SALE

These Terms of Sale ('the Terms') apply to every Order for a Product placed with LegalGuard ('the Seller') by the person who places the Order ('the Buyer'). By placing an Order, the Buyer agrees to the Terms.

1.1 In these Terms:

'Annotated Working Copy' means the version of a Template that contains notes, guidance and drafting options.

'Applicable Law' means any Act, regulation, subsidiary legislation, order or other law in force in Malaysia from time to time that applies to a Contract or to a party.

'Licence' means the licence granted in clause 8.

'Order' means a request to buy a Product placed through Checkout.

'Order Confirmation' has the meaning given in clause 4.5.

'Output Document' means a document that the Buyer prepares by completing, editing or adapting a Template.

'Partner' means any marketing partner, collaborating partner, referral partner, joint venture party or other business with which the Seller works from time to time.

'Payment Provider' means any person that processes or collects payment for an Order.

'Platform Provider' means any person that supplies the Seller with payment, hosting, storage, communication, automation, delivery, analytics, security or other technology or services, whether or not affiliated with the Seller.

'Website' means legalguard.my and any subdomain, website, web page, application or online platform that the Seller operates or uses from time to time, at any web address, as updated from time to time.

1.2 In these Terms:

(a) a reference to a clause is to a clause of these Terms;

(b) the word 'including' does not limit the words that come before it;

(c) a reference to legislation includes that legislation as amended or replaced from time to time;

(d) a reference to Ringgit Malaysia or RM is to the lawful currency of Malaysia; and

(e) a reference to a communication 'in writing' includes email and any form of electronic messaging.

1.3 These Terms apply to the fullest extent permitted by Applicable Law. If a provision of these Terms cannot lawfully apply to a Buyer, it applies to that Buyer only to the extent that Applicable Law permits, and the rest of these Terms is not affected.

1.4 A Product may be used for personal or business purposes. The Buyer is solely responsible for the use of every Product and every Output Document. No Seller Party is liable for any use of a Product or an Output Document. The Buyer shall indemnify each Seller Party in full against all claims, actions, proceedings, losses, liabilities, damages, costs and expenses, including legal fees on a full indemnity basis, arising from or in connection with:

(a) the Buyer's use of a Product or an Output Document;

(b) any claim by any person relating to that use; or

(c) the Buyer's breach of these Terms.

2. The Seller and These Terms

2.1 The Seller's email address is support@legalguard.my. The Seller may notify other contact details from time to time.

2.2 The Seller is the author and licensor of the Templates and the contracting party under every Contract. No other person is a party to any Contract, and no Seller Party other than the Seller has any obligation to the Buyer.

2.3 The Seller may use Platform Providers to operate Checkout, take payment, host, store and deliver Products, communicate with Buyers, keep records and run its business. A Platform Provider is not a party to the Contract, does not become the licensor of the Templates and is not responsible for the content of any Product.

2.4 Where a Payment Provider or other Platform Provider has its own terms that apply to the Buyer, the Buyer is also bound by those terms. If they differ from these Terms on payment, tax, the processing of payment or the operation of the platform, the Platform Provider's terms prevail on those matters. On every other matter, including the Licence, Intellectual Property Rights, the absence of legal advice and the limitation of liability, these Terms prevail.

2.5 The Seller may rely on automated systems for Checkout, records, delivery and communications. Records kept by those systems are evidence of the Order, the payment and the delivery unless shown to be incorrect.

2.6 Any support, resend or other assistance that the Seller gives beyond what these Terms expressly require is a courtesy. The Seller may change or withdraw it at any time, and it does not create a continuing obligation.

2.7 The Contract consists of these Terms, the Product description and Order details shown at Checkout, and the Order Confirmation. It replaces any earlier statement or discussion about the Product. This clause does not exclude liability for fraud.

2.8 The Seller may amend, replace or supplement these Terms at any time, at its discretion and without notice. A new version takes effect on the date it is published on the Website and supersedes the previous version.

3. The Products

3.1 The Seller offers Products as described on the Website from time to time. The description, contents, format and Price of a Product are as shown on the Website or at Checkout when the Order is placed.

3.2 A Product may be supplied in digital or other form. The Buyer shall ensure that it has the software, equipment and access needed to open and use the Product.

3.3 A Product description states what the Product contains. It is not a promise that the Product will achieve any commercial or legal result for the Buyer.

3.4 The Seller may change the description, contents, format or Price of a Product, or withdraw a Product, at any time. A change does not affect an Order that the Seller has already accepted.

3.5 Where a Product is described as an add on, it is designed to be used together with the Product named in its description.

3.6 The Buyer is solely responsible for complying with all Applicable Law in using a Product, including in any dealing with the Buyer's own customers, and shall follow the warnings and instructions in the Product.

3.7 The Seller does not guarantee that the Website, Checkout or any Product will be available at all times or free from interruption or error.

4. Orders and Formation of the Contract

4.1 The Buyer shall be at least eighteen (18) years old and shall have the legal capacity to enter into the Contract. A person who places an Order for a business confirms that the person has authority to bind that business, and in that case the Buyer is the business named at Checkout.

4.2 To place an Order, the Buyer shall:

(a) select a Product;

(b) enter the details requested at Checkout, accurately and completely;

(c) confirm agreement to these Terms and the Privacy Notice in the manner that Checkout requires; and

(d) complete payment.

4.3 The Buyer shall check the Order summary shown at Checkout, including the Product, the Price and the email address, before paying. The Buyer is responsible for the accuracy of the details entered. After the Order is placed, the Seller may, but is not obliged to, correct an error in the Order details.

4.4 An Order is an offer by the Buyer to buy the Product on these Terms. The Seller may accept or decline any Order at its discretion at any time before the Order Confirmation. If the Seller declines or cancels an Order after payment has been made, the Seller shall refund the amount paid, without interest.

4.5 The Contract is formed when the Seller confirms that payment has been received, whether on the Website, by email or by making the Product available, whichever is earliest ('the Order Confirmation').

4.6 By completing Checkout, the Buyer agrees to these Terms as published at the time of the Order and as amended from time to time under clause 2.8. The Seller may record the Terms Version, the date and the time of each Order. That record is evidence of the Buyer's acceptance unless shown to be incorrect.

4.7 The parties agree that a Contract may be made, and any notice or document under it may be given, by electronic means, and that no handwritten signature is required.

5. Price, Promotion Codes and Payment

5.1 Prices are in Ringgit Malaysia and are shown at Checkout. The Price is the amount shown at Checkout. The Seller may add any tax, duty or charge that Applicable Law requires it to collect, and shall show it at Checkout before payment.

5.2 The Buyer is responsible for any fee, charge or currency conversion cost imposed by the Buyer's bank, card issuer or Payment Provider. The Seller may add a payment processing fee, which shall be shown at Checkout before payment.

5.3 The Seller may from time to time offer a Promotion Code, whether alone or with a Partner. Each Promotion Code is subject to the price, eligibility, period and other conditions stated in the offer. A Promotion Code:

(a) has no cash value;

(b) cannot be combined with another Promotion Code or offer unless the offer says otherwise;

(c) cannot be applied to an Order after payment has been made;

(d) may be limited to particular persons or channels; and

(e) may be withdrawn, amended or refused by the Seller at any time, including if the Seller reasonably believes that it is being misused.

A completed Order remains at the Price confirmed at Checkout.

5.4 The Seller determines the payment methods and Payment Providers available, and may change them at any time. The Payment Provider and the Buyer's bank process the payment.

5.5 A payment is confirmed when the Payment Provider notifies the Seller, or the Seller otherwise confirms, that the payment has succeeded in full in cleared funds. Until then the Order is pending, no Contract is formed and the Seller is not required to deliver any Product. The Seller is not liable for any delay or failure in a payment notification. If the status of a payment is unclear, the Buyer shall check the Buyer's bank record and shall not pay again for the same Order before contacting the Seller at support@legalguard.my with the payment reference.

5.6 If a payment fails, the Order is not accepted, no Contract is formed and no Product will be delivered. If the Buyer's account is debited for a failed payment, the Buyer shall contact the Buyer's bank and the Payment Provider. The Seller may, at its discretion, help to trace the payment. The Seller is not responsible for any delay by the Buyer's bank or the Payment Provider in reversing a debit.

5.7 If the Buyer pays more than once for the same Order, the Seller shall refund each additional payment, less any fee or charge that the Seller or the Payment Provider cannot recover, within a reasonable time after the Seller confirms the duplicate payment. The Contract remains a contract for one Product only.

5.8 Where payment is taken through a Platform Provider's own checkout, the amount charged is the amount shown at that checkout, which may be in a different currency.

5.9 Any confirmation or receipt that the Seller sends is the Buyer's record of the payment. Except where Applicable Law requires otherwise, the Seller is not obliged to issue any tax invoice or other document.

5.10 If the Buyer's payment is successful but the Buyer does not receive the Product, the Buyer shall notify the Seller at support@legalguard.my without delay, and in any event within fourteen (14) days after the date of payment. The notification shall include the Order details and proof of payment, being the payment reference and a copy of the Buyer's bank record or payment confirmation showing the amount, the date and the recipient. The Seller may verify the payment with the Payment Provider before acting. The Seller is not obliged to act on a notification that is made later or without proof of payment.

6. Delivery

6.1 After payment is confirmed, the Seller shall make the Product available to the Buyer by email to the email address entered at Checkout, by a download link, by access on the Website, or by any other means that the Seller selects. Delivery is usually automated.

6.2 The Seller aims to deliver within a reasonable time after payment is confirmed. Any time stated or indicated for delivery is an estimate and not a guarantee.

6.3 Delivery is complete when the Product is sent to the email address entered at Checkout, or made available by the other means that the Seller selects, and the Seller has not received a message that it could not be delivered.

6.4 If the Buyer has not received the Product within a reasonable time after payment is confirmed, the Buyer shall:

(a) check the junk, spam and quarantine folders and any email filter operated by the Buyer or the Buyer's organisation;

(b) check that the email address entered at Checkout is correct; and

(c) if the Product is still not found, notify the Seller under clause 5.10.

6.5 Where, after a notification under clause 5.10, the Seller confirms that payment was received and the Product was not delivered, the Seller shall deliver the Product again within a reasonable time, by any means that the Seller selects.

6.6 The Seller may ask the Buyer for reasonable information to confirm that a request comes from the Buyer, and may decline to deliver to an email address other than the one entered at Checkout.

6.7 The Seller is not responsible for a failed delivery caused by an incorrect email address entered by the Buyer, a full mailbox, the filters or settings of the Buyer's systems, or any failure of a Platform Provider, network or service outside the Seller's reasonable control.

6.8 The Buyer shall download the Product and check its contents promptly after delivery, and shall notify the Seller of any missing or defective file within seven (7) days after delivery.

6.9 Where a Platform Provider delivers the Product, it does so under its own terms, and clauses 6.4 to 6.7 apply as if the Seller had delivered it. A download link or access may expire, be limited in number or be withdrawn.

6.10 The Buyer shall keep the Product, any download link and any access details secure. The Seller is not responsible for any loss caused by the Buyer sharing them with any other person.

7. No Legal Advice and the Buyer's Responsibility

7.1 The Products are general information and document templates. The Seller supplies them as a publisher.

7.2 Nothing in a Product, on the Website, in any email or in any communication with a Seller Party is legal advice. The sale or use of a Product, and any contact with a Seller Party, does not create a solicitor and client relationship or any duty of care of a professional adviser, and does not give the Buyer access to a lawyer.

7.3 The Seller's support, if any, deals with ordering, payment, delivery and file access only. It does not answer questions about how the law applies to the Buyer's situation or whether a Template suits it.

7.4 Before relying on a Template for a specific transaction, project, dispute or person, the Buyer shall have the completed document reviewed by an advocate and solicitor of the Buyer's own choice who is qualified to advise on the law that applies to that matter. The Buyer shall do so in particular in a dispute or threatened claim, an insolvency, a high value or unusual matter, before making a demand under a guarantee, before a suspension or termination, where authority to sign is unclear, and wherever the Buyer is uncertain of its rights or obligations. The Buyer alone decides whether and how to use a Product.

7.5 Each Product is supplied as it is. To the fullest extent that Applicable Law permits, the Seller does not warrant, and excludes every warranty, condition and term (express or implied) that a Product or Template:

(a) is suitable for a particular transaction, party, project or purpose;

(b) is complete, accurate or up to date;

(c) will be enforceable in whole or in part;

(d) complies with every law or regulation that applies to the Buyer; or

(e) will produce any result in a transaction, negotiation, claim or dispute.

7.6 The law changes. The Buyer shall consider whether the law has changed since the date shown on a Template before using it.

7.7 The Buyer confirms that it has not relied on any Seller Party for legal advice about its particular matter, or on any promise of a particular legal or commercial outcome.

7.8 When using a Product, the Buyer shall:

(a) read and follow the guidance and instructions in the Product;

(b) complete every variable in each Template accurately;

(c) use the correct Template for the relevant situation;

(d) obtain any approval that a Template requires; and

(e) keep evidence of the steps taken.

The Buyer remains responsible for deciding whether a Template is suitable, completing it accurately and using it lawfully.

8. Licence to Use the Templates

8.1 Subject to payment of the Price in full and to these Terms, the Seller grants the Buyer a limited, non exclusive, non transferable and non sublicensable licence to download, copy, store, edit and use the Templates in the Product purchased, for the Buyer's own use or for the Buyer's Business. The Licence may be terminated under clause 13.

8.2 The Buyer may allow its holding company and its subsidiaries, within the meaning of the Companies Act 2016, and its directors, employees and professional advisers, to use the Templates, but only for the Buyer's Business and only as far as they need. The Buyer is responsible for their compliance with these Terms and for any breach by them.

8.3 The Buyer owns each Output Document, subject to the Seller's Intellectual Property Rights in the Template wording. The Buyer may issue an Output Document to a counterparty in order to enter into or perform a transaction, but shall not send it an Annotated Working Copy or any guidance or notes from a Product.

8.4 The Buyer shall not, and shall not allow any other person to:

(a) sell, resell, rent, lease, lend, license, sublicense, give, share, distribute or otherwise make available a Product or a Template, in whole or in part, in any format and whether blank or edited, to any person other than as clauses 8.2 and 8.3 allow;

(b) publish, post, upload or make available a Product or a Template, or any part of one, on any website, social media account, online marketplace, online store, file sharing or cloud storage service, app, document library or other platform or repository that others can access;

(c) bundle, repackage, rebrand, translate or include a Product or a Template, or any part of one, in any product, template pack, document set, software, tool, course, subscription or other offering, whether or not for a fee;

(d) use a Product or a Template to create, build or populate any product or service that competes with or substitutes for a Product;

(e) use a Product or a Template to prepare documents for other persons as a service, or in the course of advising or acting for clients, without the Seller's prior written consent;

(f) remove, alter or hide any copyright notice, watermark, identifier, version marking or statement of ownership in a Product, except that the Buyer need not include any LegalGuard notice in an Output Document;

(g) use any automated tool, scraping or software, including any artificial intelligence system, to extract, copy, replicate or train on a Product or a Template;

(h) share a download link or access details, or bypass any access control; or

(i) attempt, assist or permit any other person to do any of these things.

8.5 Nothing in this clause 8 prevents the Buyer from preparing its own documents independently without using or copying a Product.

8.6 The Licence covers only the Product purchased. A licence for one Product does not extend to any other Product. All rights not expressly granted to the Buyer are reserved to the Seller.

8.7 The Seller may place watermarks, identifiers or other tracing marks in a Product, and may use them to trace and enforce any breach of this clause 8 or of clause 9.

8.8 If a Product or a Template, or any part of one, is made available in breach of this clause 8, the Buyer shall remove it immediately on the Seller's request. The Seller may notify any platform, host or other person and request its removal, and the Buyer consents to the Seller doing so.

8.9 The Buyer acknowledges that damages may not be an adequate remedy for a breach of clause 8.4 or clause 9, and that the Seller may seek an injunction or other equitable relief without proving special loss, in addition to any other remedy. The Buyer shall also account to the Seller for any profit made from the breach and shall pay the Seller's costs of enforcement on a full indemnity basis.

8.10 If the Buyer breaches clause 8.4(a), (b) or (c), the Buyer shall pay the Seller, for each breach, an amount equal to five (5) times the Price of the Product concerned, as a genuine pre estimate of the Seller's loss of sales and cost of enforcement. This amount is payable in addition to the Seller's right to injunctive relief under clause 8.9. The Seller may elect between this amount and an account of profits under clause 8.9.

9. Intellectual Property

9.1 The Seller is the author of the Templates and owns, or is licensed to use, all Intellectual Property Rights in the Products, including the text, structure, formatting, drafting, selection and arrangement of the Templates, the notes and guidance, and the name and logo LegalGuard.

9.2 The Buyer acquires a licence to use the Templates and does not acquire ownership of any Product or of any Intellectual Property Right in it.

9.3 The Buyer shall not use the name or logo LegalGuard, or any trade mark or get up of the Seller, except as necessary to refer accurately to the Products. The Buyer shall not state or suggest that an Output Document was prepared, reviewed or approved by a Seller Party, or that a Seller Party endorses the Buyer or its business.

9.4 The Seller does not claim ownership of the Buyer's own information, or of the content that the Buyer adds to an Output Document, apart from the Template wording.

9.5 The Seller may use any suggestion, feedback or comment that the Buyer gives about a Product, without payment or obligation.

9.6 The Buyer shall notify the Seller promptly if it becomes aware of any unauthorised use, copying or distribution of a Product.

10. Refunds

10.1 The Products are delivered immediately and, once delivered, the Buyer holds the whole Product and cannot return it. The Seller does not offer refunds, except as this clause 10 provides.

10.2 If the Buyer does not receive the Product, or a Product cannot be opened, is corrupted or is materially incomplete when compared with its description on the Website, the Buyer shall notify the Seller at support@legalguard.my with the proof of payment required by clause 5.10 and a description of the problem. The Buyer shall do so within seven (7) days after delivery or, where there has been no delivery, within the period in clause 5.10. The Seller may assist by resending the Product, supplying a download link, replacing the file or any other reasonable means.

10.3 If, after the steps in clauses 6.5 and 10.2, the Seller is unable to deliver a usable Product, the Seller shall refund the Price paid. That refund is the Buyer's sole and exclusive remedy for the failure.

10.4 After the Product is delivered, the Seller shall not refund the Price for a change of mind, a mistaken purchase, the purchase of the wrong Product, the Buyer no longer needing the Product, or the Buyer finding that a Template or Product does not suit its purpose. A Product that does not suit the Buyer's purpose is not a defect.

10.5 To ask for assistance or a refund, the Buyer shall email support@legalguard.my with the order number or payment reference and a description of the problem. The Seller shall reply within a reasonable time.

10.6 Each refund under clause 4.4, 5.7, 10.3 or 14.3 shall be of the Price paid, without interest, less any fee or charge that the Seller or the Payment Provider cannot recover. This deduction does not apply to a refund under clause 4.4. The Seller shall pay the refund within a reasonable time, by the same method as the original payment where possible, or otherwise by bank transfer to an account in the Buyer's name that the Buyer notifies.

10.7 When a refund is made after delivery, the Licence ends and clause 13.4 applies.

10.8 Before raising a dispute with the Buyer's bank or the Payment Provider about an Order, the Buyer shall contact the Seller at support@legalguard.my so that the Seller can resolve the matter. If the Buyer raises a dispute in breach of this clause, the Buyer shall pay the Seller any chargeback fee and reasonable costs that the Seller incurs as a result.

10.9 Where a refund is made through a Platform Provider, the timing of the refund reaching the Buyer depends on the Platform Provider and the Buyer's bank.

11. Limitation of Liability

11.1 Nothing in these Terms excludes or limits liability for fraud, or any liability that cannot lawfully be excluded or limited.

11.2 To the fullest extent that Applicable Law permits, no Seller Party is liable to the Buyer or to any other person, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for:

(a) loss of profit, revenue, business, contracts, goodwill or anticipated savings;

(b) any indirect, special or consequential loss;

(c) loss arising from the Buyer relying on a Template without the review described in clause 7.4;

(d) loss arising from the Buyer's failure to complete, adapt or use a Template correctly;

(e) loss arising from the outcome of any transaction, claim, dispute, adjudication or regulatory process in which the Buyer uses an Output Document;

(f) loss arising from a change in law;

(g) loss of data, reputational loss, business interruption, delay or claims by third parties;

(h) any failure, delay, interruption, error or unavailability of the Website, Checkout, a Payment Provider, a Platform Provider, email, a network or any other service outside the Seller's reasonable control;

(i) any act or omission of the Buyer or of any third party; or

(j) any use of a Product or an Output Document.

11.3 The total liability of all Seller Parties together to the Buyer arising out of or in connection with a Contract or a Product, however arising, shall not exceed the Price paid by the Buyer for the Product that gave rise to the claim.

11.4 The Buyer is responsible for the content of each Output Document that it issues and for its own decisions. No Seller Party is a party to any transaction between the Buyer and a third party.

11.5 The Buyer acknowledges that the Price has been set on the basis that liability is limited as set out in this clause 11.

11.6 The Buyer's obligations under clause 1.4 apply in addition to this clause 11. The Seller holds the benefit of clauses 1.4 and 11 for each other Seller Party and may enforce them on its behalf.

12. Updates and Versions

12.1 The Seller may update, replace or discontinue a Product at any time. The Seller is not required to provide updates, to notify the Buyer or to monitor the law for the Buyer.

12.2 If a newer version of a Product is made available to the Buyer, the Buyer may use it under the Licence.

13. Term and Termination of the Licence

13.1 The Licence starts when the Product is delivered and continues until it is terminated under this clause 13.

13.2 The Licence ends automatically if the Buyer breaches clause 8.4 or clause 9.3, and the Seller may confirm that by notice. The Seller may also terminate the Licence immediately by notice if the Buyer commits any other breach of these Terms, if payment of the Price is reversed, recalled or disputed other than under clause 10, or if the Seller reasonably suspects misuse of a Product.

13.3 The Buyer may stop using a Product at any time. Doing so does not entitle the Buyer to a refund.

13.4 When the Licence ends, the Buyer shall stop using the Templates, except as clause 13.5 allows, and shall delete all copies from the devices and systems under its control within seven (7) days, other than copies held in routine backups, which the Buyer shall not access or use. If the Seller asks, the Buyer shall confirm the deletion by email.

13.5 Output Documents issued before the Licence ended remain valid and effective. The Buyer shall not prepare new Output Documents from the Templates.

13.6 Termination does not affect any right that accrued before it. Clauses 1.4, 7, 8.4, 8.7 to 8.10, 9, 11, 13.4, 13.5, 17 and 18 continue after termination. The Seller may suspend any download link or access at any time.

14. Force Majeure

14.1 A party is not in breach of the Contract, and is not liable for any delay or failure in performing an obligation, to the extent that the delay or failure is caused by an event beyond its reasonable control ('a Force Majeure Event'). A Force Majeure Event includes natural disaster, fire, flood, epidemic, war, riot, government order, power or internet failure, and the failure or outage of a Payment Provider, a Platform Provider, an email service, a hosting service or any other third party service.

14.2 The affected party shall use reasonable efforts to resume performance and may give notice by email or on the Website.

14.3 If a Force Majeure Event prevents delivery of the Product for more than thirty (30) days, the Buyer may cancel the Order and the Seller shall refund the Price paid under clause 10.6.

14.4 A Force Majeure Event does not excuse a party from paying money that is due.

15. Notices

15.1 A notice under these Terms shall be given by email. A notice to the Seller shall be sent to support@legalguard.my. This clause 15.1 applies despite clause 1.2(e). The Seller may also give a notice to the Buyer by publishing it on the Website.

15.2 A notice to the Buyer shall be sent to the email address entered at Checkout, or to a later email address that the Buyer has notified to the Seller.

15.3 A notice sent by email is treated as received at the time it is sent, unless the sender receives a message that it could not be delivered. A notice sent after 5.00 pm Malaysian time, or on a day that is not a Business Day, is treated as received on the next Business Day.

15.4 The Buyer shall keep its email address up to date and shall check its junk and spam folders for notices from the Seller.

16. Changes to the Terms and Versioning

16.1 A new Terms Version applies to every Order placed after it is published and also to the continuing parts of the relationship under any earlier Contract, including the Licence, clauses 1.4, 8, 9 and 11, and the Privacy Notice.

16.2 The Buyer's continued use of a Product after a new Terms Version is published is acceptance of that Terms Version.

16.3 The Seller may keep earlier Terms Versions and may, but is not obliged to, supply a copy on request.

17. General

17.1 The Seller shall handle the Buyer's personal data in accordance with the Privacy Notice. Any consent to receive marketing that Checkout requests separately is optional.

17.2 The Buyer shall not assign or transfer the Contract or the Licence without the Seller's written consent. The Seller may assign, transfer or subcontract the Contract and any of its rights and obligations to any person, including a Related Company or a Partner, without notice to or consent from the Buyer.

17.3 If a provision of these Terms is found to be invalid or unenforceable, the rest of these Terms continues in effect, and the provision shall be read down to the extent necessary to make it valid.

17.4 A delay or failure by the Seller in enforcing a right under these Terms is not a waiver of that right.

17.5 These Terms are in English. If the Seller makes a translation available in any other language, it is for convenience only and the English version prevails.

17.6 A person who is not a party to a Contract has no right to enforce it, except that the Seller Parties may enforce clauses 1.4 and 11 as clause 11.6 provides.

18. Governing Law and Disputes

18.1 These Terms and every Contract are governed by the laws of Malaysia.

18.2 The courts of Malaysia have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or a Contract, except that the Seller may bring proceedings, including for an injunction, in any court of competent jurisdiction.

19. Contract Risk Review

19.1 Meaning. In this clause 19, 'Review Service' means the Product called Contract Risk Review. 'Memo' means the written risk memo we prepare for you under the Review Service. 'Submitted Text' means the text of the document you submit for review. An order for the Review Service is an Order for a Product for the purposes of clauses 4, 5, 10 and 11. If this clause 19 and any other clause differ on the Review Service, this clause 19 prevails.

19.2 How it works. You submit the Submitted Text and pay. After we confirm payment, we email the Memo to the email address you gave at Checkout. We aim to send it shortly after payment is confirmed.

19.3 AI memo. The Memo is prepared by an AI tool. It is not reviewed by a lawyer before we send it. AI can make mistakes and can miss risks.

19.4 Not legal advice. The Memo is a commercial risk assessment based only on the Submitted Text and general principles of Malaysian law. It is not legal advice and does not create a lawyer and client relationship. Clause 7 also applies. Do not rely on the Memo alone where the document involves a personal guarantee, personal liability for you or your directors, or a matter that significantly affects your business. Get a full legal review before you sign.

19.5 What you submit. You must submit the full document, including any schedules and annexures that matter. The Memo covers only what you submit and cannot cover pages or terms that are missing. The Submitted Text must be between 200 and 50,000 characters. Please remove IC numbers, bank account numbers and passwords before you submit it.

19.6 Your confirmations. When you submit the Submitted Text, you confirm that: (a) you are allowed to share it with us for review, including under any confidentiality clause in the document; (b) you accept that the Submitted Text is sent to Anthropic, an AI provider outside Malaysia, as described in clause 16 of the Privacy Notice; and (c) you have told us correctly which party you are in the document.

19.7 One order, one document. Each order covers one document as submitted.

19.8 If the Memo does not reach you. If you do not receive your Memo, or it has not come through properly, please check your spam folder, then contact us at support@legalguard.my or on WhatsApp +60 11 5584 3899 so that we can fix the technical issue internally. Clause 10 governs refunds.

19.9 Free session. Each paid order for the Review Service includes one free session of up to 15 minutes with CF Lee, by video call or phone, about your Memo. You may book it within 14 days after the date of your order. To book it, WhatsApp +60 11 5584 3899 and quote your order number. If you do not book within that period, the session lapses. The session is a preliminary commercial discussion based on your Memo. It is not legal advice and does not create a lawyer and client relationship. You are entitled to one session for each order. We may reschedule a session. For the session, this clause 19.9 prevails over clauses 7.2 and 7.3.

20. Business Reality Check

20.1 The Business Reality Check is a paid session of up to 60 minutes with CF Lee, by video call or phone. The fee is RM398.

20.2 You must pay in full through the payment gateway before the session is booked.

20.3 To book, WhatsApp +60 11 5584 3899 and quote your order number or payment reference. Before the session you must send a short written brief of the issue you want to discuss.

20.4 The session is a commercial discussion of one business issue, based on your brief. It is not legal advice and does not create a lawyer and client relationship.

20.5 Legal advice or legal work is a separate engagement with KP Lu & Tan, agreed in writing, with its own fees.

20.6 We may reschedule a session. If you miss a session without giving at least 24 hours notice, the session is treated as used.

20.7 This clause 20 prevails over clauses 2.2, 7.2 and 7.3.

21. Legal Retainer and Bespoke Legal Services

21.1 The KPLT Legal Retainer and any bespoke legal services are provided by KP Lu & Tan ('KPLT'), not through LegalGuard, and are not sold under these Terms of Sale.

21.2 They are governed by the KPLT Letter of Engagement for the relevant tier ('the LOE'), which you must accept in writing before services begin. If these Terms and the LOE conflict on retainer or legal services, the LOE prevails.

21.3 Fees for the retainer and bespoke services are paid in advance, in cleared funds, directly to KPLT as the LOE provides. They are not paid through the LegalGuard payment gateway.

21.4 An optional 0% instalment facility may be offered for the Growth and Strategic 12 month terms through a third party gateway or bank, subject to that provider's approval. It is not available for any other retainer term or LegalGuard purchase.
